Terms & Conditions

 

By completing and submitting your application for membership of The Hearth (via our online registration form (at www.thehearth.me) or otherwise) or by using or booking any of our Services, you agree to be bound by and accept these terms and conditions (‘Terms’) and our House Rules. The Terms and the House Rules apply to Members, guests of Members and any non-Members who use the Premises and/or the Services.

Our House Rules deal with to day to day issues such as conduct at the Premises. All Members and users of the Premises must comply with the House Rules. Breach of the House Rules or these Terms may lead to suspension or termination of Membership.

A copy of the Terms and the House Rules are available on our website www.thehearth.me (or from Reception at The Hearth) and may be updated/varied from time to time in accordance with these Terms.

Your attention is drawn in particular to the limitation of liability provisions in paragraph 10 below.

1. Application

On receipt of your application to become a member of The Hearth (‘we’, ‘us’, ‘our’), we will require you to pay the joining fee and a deposit (where applicable), provide payment details and identification documents. Once we have received payment of the joining fee (and deposit where applicable) and satisfactorily verified the information provided to us, we will confirm to you (by email or otherwise) the joining date of your membership (‘Membership’).

The Hearth shall have sole discretion as to who shall become a member of The Hearth (‘Member’). Members must be female and over the age of 18. We will use the personal information you provide to us in connection with your Membership in accordance with our Privacy Policy.

2. Membership

a. The Hearth offers a range of Membership tiers. Details of the Membership tiers, the rates and services including The Hearth’s opening hours, co-working hours (‘Work Days’) and Members’ Club/Social Lounge Hours (‘Social Hours’) are set out on our website (www.thehearth.me) or are available from The Hearth on request.

All operating hours are subject to change at the sole discretion of The Hearth.

The Hearth reserves the right to close all or part of its premises at 16 Lonsdale Road, London, NW6 6RD (‘Premises’) for private events or for necessary maintenance, repair or redecoration work and/or in the event of bad weather or other unforeseen circumstances beyond The Hearth’s control. Where possible, we will give you advance notice of any closure of all or part of the Premises.

b. Your Membership tier entitles you to access specified spaces in the Premises. If your Membership tier does not include Work Days, you will need to purchase a separate Day Pass to access the Premises on Work Days. You are not permitted to use the Premises during times that are not included in your Membership. If you consistently fail to observe the terms of your Membership, we reserve the right to charge additional fees or to terminate your Membership.

You may not assign your rights or obligations under these Terms or share the benefits of your Membership with anyone without the written consent of The Hearth.

3. Services

The services that The Hearth provides (‘Services’) at the Premises shall include, but not be limited to, the Services listed below. Please see our Services Rate Card (available on our website www.thehearth.me or from The Hearth by request) for details of which Services are included with each Membership tier. You agree to use the Services and the Premises in accordance with these Terms and the House Rules. The Services are subject to change at the sole discretion of The Hearth.

a. Access to the Lounge (the downstairs, inside area of the Premises), the Library (the upstairs, inside area of the Premises) and the Kitchenette (the kitchen and pantry) within the times permitted by your Membership tier.

  1. Access to and use of the shared Internet.

  2. Use of printer, copier, and scanner; use of AV equipment including Smart TV, projector and screen.

  1. Wellness and beauty treatments from The Hearth Wellness Practice.

  2. Sale of food & beverage (‘F&B’) items and retail concessions/services.

  3. Access to events, promotions, partnerships and perks.

  4. Hire of meeting room (‘Meeting Room’) or event spaces within the Premises.

  5. Locker rental (available to Members only).

Some of the Services will incur an extra charge for use and are subject to availability. Current charges are displayed on the Services Rate Card which can be found at www.thehearth.me or upon request.
Certain services, such as, but not limited to, wellness and beauty treatments, events and space bookings may also be open to non-Members and guests.

4. Term

Except as otherwise provided in this paragraph, your Membership will be automatically renewed every 6 months (‘Membership Fixed Term’). Each 6 month Membership Fixed Term starts on the first day of a calendar month. If your joining date is any date other than the first day of the month, then this first fixed term of your Membership (‘Initial Membership Period’) will be for 6 months plus the pro-rated remainder of the month in which you joined. For example, if your joining date was 15th January, your Initial Membership Period would run from 15th January to 31st July. All Terms, applicable Membership Fees and House Rules apply from your joining date.

Membership will renew automatically at the end of each Membership Fixed Term unless you have given notice to terminate your Membership in accordance with the Terms.

You may terminate your Membership with effect from the end of a Membership Fixed Term in accordance with paragraph 6. If you wish to terminate your Membership part way through a Membership Fixed Term, you will be responsible for paying the full Membership Fee for the whole of the Membership Fixed Term.

5. Fees & Payment

Joining Fee: a non-refundable joining fee is payable to The Hearth when you become a Member. The current joining fee is displayed on the Membership Rate Card which can be found at www.thehearth.me or upon request.Deposit: a deposit of one full month’s Membership Fee is payable to The Hearth if your Membership includes Work Days. The deposit may be retained (in whole or in part, at The Hearth’s sole discretion) by The Hearth if (i) your Membership Fee is overdue for thirty (30) or more days; (ii) you terminate, upgrade or downgrade your Membership without providing the required notice as set out below; (iii) you or your guests have caused any damage to the Premises or its contents; or (iv) you are in breach of any of the Terms or the House Rules.

Subject to the above, on termination of your Membership, the deposit will be returned to you. We are entitled to deduct from the deposit any outstanding Membership Fees payable and any other amounts due to The Hearth.

Membership Fee: a monthly Membership Fee is payable to The Hearth on the first day of each calendar month, and must be paid via direct debit in the manner that The Hearth requires. Membership Fees due for the Initial Membership Period will be charged in accordance with paragraph 4 i.e. if your Membership begins on any day other than the first day of the month, the first payment will consist of a pro-rated amount of the monthly fee (calculated from the joining date until the last day of that month) plus any deposit payable and the joining fee. The next payment will be for the first full month of the Initial Membership Period, and will be taken on the first day of the calendar month. For example, if your joining date was 15th January, the Membership Fee (payable monthly) for the Initial Membership Period would consist of the pro-rated amount payable in respect of the period from 15th to 31st January plus 6 full months’ Membership Fee in respect of the period from 1st February to 31st July.

The Hearth operates as a cashless business. All Membership Fees must be paid via direct debit. We will require your credit/debit card (and/or bank account) details when you become a Member for payment for Services. By providing us with your payment details, you consent to The Hearth debiting your Membership Fees and any other sums payable to The Hearth for use of the Services using those payment details. If your payment details change, you must notify The Hearth as soon as possible with your new payment details. All payments by non-Members for bookings, products and services used in The Hearth must be made by credit or debit card.
The Hearth reserves the right to charge interest on any overdue amounts at a rate of 5% per annum above the Bank of England’s base rate. Such interest will accrue on a daily basis from the due date until the date of the actual payment of the overdue amount.

The Hearth may change any fees charged at any time at its sole discretion. We will give you at least 2 months’ notice (via email) of any change to the amount, date or frequency of the payment of Membership Fees. Any change to Membership Fees will not apply before the end of your current Membership Fixed Term, but will start upon renewal of your Membership for the next Membership Fixed Term. Members who do not wish to accept changes to the Membership Fees may terminate their Membership in accordance with paragraph 6 below.

6. Termination

PLEASE READ THIS TERM CAREFULLY

a. Written notice to terminate your Membership must be given on or before the last day of the calendar month preceding the month your Membership Fixed Term will end. The Hearth will process termination requests on the 1st of each calendar month, and any termination will be effective on the last day of that calendar month. For example, if your Membership Fixed Term starts on 1st January and ends on June 30th , you will need to give written notice to The Hearth on or before May 31st. If you give notice after May 31st , then your Membership will automatically be renewed for a further Membership Fixed Term (i.e. from July 1st to December 31st) and your Membership will terminate on December 31st. The Hearth will not pro-rate or refund any amounts paid prior to termination.

b. You may upgrade your Membership at any point, to a Membership of higher value. The new Membership will start on the 1st of the next calendar month, and a new Membership Fixed Term of 6 successive months will begin on that date. If your upgrade date is on any date other than the 1st, the Initial Membership Period and pro-rated Membership Fees will apply, in accordance with paragraphs 4 and 5. The joining fee for the upgraded Membership will be waived, and the difference in deposit value must be paid. A Membership downgrade to Membership of lower value is considered a termination request for your existing Membership and is subject to the same notice requirements as set out above. Any Membership Fees due from the remaining unused Membership Fixed Term must be paid before the new downgraded Membership term can begin. You may then subscribe to the new Membership in accordance with paragraph 4 and 5. The joining Membership Fee for the downgraded Membership will be waived.

Any notice of termination must be given in writing addressed to The Hearth at hello@thehearth.me.

c. We may suspend provision of the Services, your access to or use of the Premises or terminate your Membership for any reason at our sole discretion including, without limitation in the event of: (i) your breach of any of the Terms or the House Rules; (ii) your Membership Fee being unpaid by the due date or if any other fees remain outstanding after we provide notice to you; (iii) your failure to comply with any of the Terms or the House Rules or with any other policies or instructions provided by us; (iv) our receipt of three or more complaints from The Hearth staff members or other Members; or (iv) termination, expiry or any material loss of our rights to the Premises. On termination of your Membership (or at the request of The Hearth at any time), you agree to immediately remove any and all of your personal property from the Premises. The Hearth reserves the right to dispose of, sell, use or keep any personal property that you leave at the Premises after such request or after termination of your Membership.

7. Access

a. Your access through the main door into the Premises is controlled by The Hearth via a mobile phone app that must be downloaded and customised to your profile.

b. Members will receive a barcode key fob once their Membership is confirmed. Upon entering the Premises via the main door, Members are required to immediately scan their barcode key fob in order to check into our Membership system. Failure to do so on a regular basis may result in a fee being charged, potential suspension of your Membership and/or any other appropriate action to enforce this requirement. A replacement fee (at the then current rate set by The Hearth for replacement key fobs) will be charged for any lost or damaged key fobs. On the termination of your Membership, you shall deliver to The Hearth your key fob. If your key fob is not returned within 5 days of termination, The Hearth will make be entitled to make a charge (at the then current rate set by The Hearth for each key fob that is not returned) using your payment details provided to us.

c. The Hearth’s digital security passes and/or key fobs are NOT transferable. You are not authorised to “give” or “loan” your digital security pass or key fob to anyone else for any reason. If you are in breach of this term, The Hearth may terminate your Membership and reserves the right to charge you all appropriate event fees and/or Day Pass fees.

The Hearth shall not be liable for damages in the event that you are unable to access the Premises at any time, for any reason.

8. Guests

All guests are subject to the Terms and the House Rules, including, without limitation, the terms set out in this paragraph. Members are responsible for ensuring their guests’ compliance with the Terms and the House Rules and are fully responsible for the conduct of their guests and for any charges incurred by their guest(s) while at the Premises. Members may bring guests to The Hearth in accordance with the guest policy which is available on our website (www.thehearth.com) or on request from The Hearth.

We reserve the right to change our guest policy at any time.

Members must notify Reception of guests at least 2 hours in advance of any guests arriving (including the name and contact details of guests(s)), or the guest(s) may not be admitted. A list of guests will be maintained at Reception and The Hearth reserves the right to allow any regulator, public authority or law enforcement party to inspect the list on their reasonable request. Members must always be present when their guests enter the Premises and while their guests are at the Premises.

If a Member’s guest is in breach of the Terms or the House Rules, The Hearth may, at its sole discretion, suspend or terminate the Member’s membership.

If a guest remains on the Premises for longer than is permitted, The Hearth reserves the right in its sole discretion to charge a fee to such guest or the Member hosting the guest.

9. Additional Terms

a. Work Days

Members are allocated a certain number of Work Days according to their Membership tier. Members who have a finite number of Work Days in their Membership tier must book their Work Days in advance via the website www.thehearth.me. Bookings will be available on our website (www.thehearth.me) at least a month in advance and are subject to availability (The Hearth is entitled to impose a maximum amount of bookings for Work Days per day). Bookings can be modified or cancelled up to 24 hours before the start of the Work Day with no extra charge, via the website www.thehearth.me. Work Day hours are set out on the website www.thehearth.me. No modification or cancellation of bookings may be made less than 24 hours before the start of the Work Day. Members who have exceeded their Work Day allocation may purchase additional Day Passes.

b. Internet

Wireless access to the Internet is provided for the benefit of Members and their guests. Use of the Internet must not be in breach of any law, be defamatory, offensive, abusive, indecent, obscene, harmful in any way, promote or encourage any unacceptable or illegal behaviour, have any fraudulent purpose or effect, result in any misrepresentation or damage the integrity, reputation, brand or name of The Hearth in any way. Any login name, password or IP address required for the use of the Internet must not be assigned to or shared with any other person. The Hearth reserves the right to change (or to require you to change) your IP address, login name or password at any time.

You may not upload any files that contain or may contain viruses, “Trojan Horses”, worms, time bombs, candlebots, corrupted files or any similar software that may damage or disrupt the operation of The Hearth’s systems or equipment or that of any Member or third party. If you become aware that any such files have been uploaded to The Hearth’s systems or equipment (or that of any Member or third party), you must notify us immediately.

Service interruptions, if they occur, will be handled as promptly as possible. The Hearth is not responsible for any data, business or other losses as a result of such interruptions. You are responsible for protecting your own equipment and data from electrical surges, theft, virus, or other malicious attacks.

The Hearth makes no representations about the security or privacy of our Internet connection. The Hearth reserves the right to monitor/inspect any activity on its systems, including for security reasons and/or to ensure compliance with these Terms and the House Rules.

c. Use of printers, copiers, scanners

Members may use the printers, copiers and scanners available at The Hearth for an additional charge. Members pay per page of printing (current rates are available on the Services Rate Card at www.thehearth.me). Where Members have monthly printing credits included in their Membership tiers, unused credits expire at the end of the month and may not be accumulated.

Members will be assigned a unique ID code for printing, which will need to be entered into the printer in order to collect their printing. Members will be billed for their total printing at the end of the month; payment will be taken using the payment details provided to The Hearth.

d. Wellness and Beauty treatments at The Hearth Wellness Practice

Members and non-Members must book their treatment in advance and pay for the treatment at the time of booking. All treatments are subject to availability and must be booked online at www.thehearth.me. Payment by Members for treatment fees is taken using the payment details provided to The Hearth. Payment by non-Members may be made online. Bookings are only considered confirmed when you receive an email confirmation.

The full treatment fee will be payable if less than 24 hours’ notice of cancellation is given. Appointments can be cancelled or rescheduled (subject to availability) with no penalty if made before 24 hours, via our website www.thehearth.me. There will be no refund for modifications or cancellations made within 24 hours of the start of the booking.

Members must wait by the coffee bar/Lounge area in time for their appointment where they will be met and escorted to the Wellness Room by the practitioner.

Non -Members who have registered and booked a Wellness treatment may access the Premises no earlier than 10 minutes before their appointment time. They must check into Reception and may wait by the Reception counter, to be collected by the therapist. After treatment, subject to available space and at the discretion of The Hearth staff, non-members may stay up to an additional half hour in the Lounge area, provided they have purchased and consumed either food or beverages, but may not stay at the Premises beyond this period.

The Hearth reserves the right to refuse or cancel a treatment (on notice) and/or to change prices, modify or cease to offer treatments at any time. Details of current treatments and prices are available on our website www.thehearth.me.

All practitioners/therapists at The Hearth Wellness Practice are self-employed and are responsible for the provision of their services (which will be provided subject to their own terms). The Hearth takes no responsibility for the advice or treatment given by any of the practitioners/therapists operating at The Hearth.

e. Food & Beverages (‘F&B’). Retail concessions and services

Payment for purchases by Members for F&B or retail items is taken using the payment details provided to The Hearth or by Members using their credit/debit card at the retail terminal. The menu is available on our website www.thehearth.me or at the Premises. During Work Days, F&B items are available for Members to purchase in the Kitchenette. The Hearth operates a cashless honesty policy, where Members are expected to complete the purchase of the item(s) before taking and consuming the item(s). Members who do not purchase the item before consumption may be charged with a penalty in addition to the cost of the item.

During Social Hours, F&B items will be available for sale at the Wine Bar. Members may place orders with staff, and pay using their payment details provided to The Hearth. Non - Members may purchase F&B items using a credit/debit card.

The Hearth takes no responsibility for any food allergies or reactions that Members and/or non-members may have in relation to F&B items that are brought in by Members, non-members and/or guests. Members, non-members and guests consume any such products at their own risk.

f. Events

Members can book to attend an event, subject to availability and payment of booking fees. The content, event calendar and booking platform are available on our website www.thehearth.me or upon request.

Events open to non-Members will be publicised for booking on www.thehearth.me and are subject to availability and payment of event fees at the time of booking. Non-Members who book an event may enter the Premises and visit the part of the Premises in which the event is taking place. Non-Members must check in with Reception when they enter into the Premises. Non-Members must leave the Premises upon completion of the event, unless specifically permitted by The Hearth staff.

Members or non-Members who have booked tickets for an event can modify or cancel their bookings up to 24 hours before the event with no penalty on The Hearth’s booking platform. There will be no refund for modifications or cancellations made within 24 hours of the start of the event.

The views expressed by speakers at events are those of the speaker and not necessarily those of The Hearth. Presentations at The Hearth events do not constitute an endorsement of the speaker’s views, products or services.

g. Meeting Room

Use of our Meeting Room is subject to availability, prior booking on our website, payment of booking fees and confirmation of booking, Current fees are displayed on our Services Rate Card on our website www.thehearth.me or upon request. Such fees are subject to change from time to time. Some Membership tiers may include Meeting Room credits. Any such credits are non-transferable.

The Meeting Room can only be used with a confirmed reservation and booking. A charge will be made for use of the Meeting Room without a confirmed reservation.

The Meeting Room may be used for meetings ONLY during bookable hours. The person booking the Meeting Room must be present at the meeting and may not transfer the meeting room time to non-Members or to outside groups. The Meeting Room may only be used for other purposes at the sole discretion of The Hearth.

The Meeting Room must be kept clean and all equipment must be used properly and in accordance with any instructions provided.

Non-Members may book the Meeting Room, subject to availability and payment of booking fees at the specified rate for non-Members. Non-Members can visit The Hearth for the duration of the booking. They must check into Reception, and stay within the Meeting Room for the duration of the booking unless using the toilet facilities. Non-Members may not stay in the Premises beyond the time of their booking.

Meeting Room bookings can be cancelled or rescheduled (subject to availability) with no penalty if made more than 24 hours before the booking, via our website www.thehearth.me. There will be no refund for modifications or cancellations made within 24 hours of the start of the booking.

h. Day Passes

Subject to availability, Day Passes may be purchased by Members who have an existing and valid Membership. A single-use Day Pass gives you access to the Premises for a single Work Day. Day Passes are non-transferable and may only be used by the Member who purchased them. Current fees for the Day Pass are displayed on our Services Rate Card on our website. www.thehearth.me.

Day Passes are only valid for the specified day of use at the point of purchase. Members may book the Day Pass online through our website www.thehearth.me.

Day Pass bookings can be modified or cancelled (via the website www.thehearth.me) up to 24 hours before the start of the Work Day for which the Day Pass has been purchased, with no extra charge. No modification or cancellation of bookings of Day Passes may be made less than 24 hours before the start of the Work Day for which the Day Pass has been purchased.

i. Lockers

Subject to availability and payment of fees, Lockers may be rented by Members from The Hearth on a monthly basis. Rates for locker rental are posted on our Services Rate Card, available on our website, or upon request. We reserve the right to enter lockers at any time and without prior notice for any reason.

10. Liability

Subject to the remaining provisions of this paragraph, the Hearth’s total liability to a Member, any non-Member or any guest whether in contract, tort (including negligence), breach of statutory duty or otherwise, arising under or in connection with the Member’s, or the non-Member’s or the guest’s use of the Premises or the Services shall not exceed the Membership Fees paid by such Member (or in respect of guests of Members, the Membership Fees paid by the Member who has brought in the guest or in respect of non- Members the equivalent to the average annual Membership Fees) under the Terms in the 12 months prior to the first event or occurrence giving rise to liability. The Hearth shall not be liable for any indirect or consequential loss, including any loss of actual or anticipated business, income or loss of opportunity.

Nothing in these Terms is intended to exclude any terms that The Hearth cannot legally exclude including liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors, for fraud or fraudulent misrepresentation and for breach of your statutory rights.

Members, non-Members and guests of Members are responsible for their possessions at all times. The Hearth’s insurance does not cover loss, damage or theft of Members’ (or non- Members’ or guests’) possessions. Members, guests or non-Members who leave possessions unattended at any time at the Premises do so entirely at their own risk. Members, non-Members and guests of Members are also responsible for ensuring that their confidential information remain secure within The Hearth. The Hearth will not be liable for any unauthorised disclosure of any such confidential information. (unless such disclosure occurs as a result of a breach of our confidentiality obligations to you).

You acknowledge that you will be liable for, and agree to indemnify us for any damages caused to the Premises, or in relation to any claim brought against The Hearth, by malfunctioning or incorrectly used equipment brought into the Premises by you or your guests. This includes, but is not limited to, damage caused by electrical equipment.

11. General

No proprietary rights.

A Member shall be entitled to all the rights and privileges granted to a person in their capacity as a Member and shall be bound by the Terms and the House Rules but shall have no proprietary rights in the Premises or in respect of any property at the Premises.

Intellectual Property.

Members and their guests shall not use the name, logo, trademarks, services marks, photographs or other identifying features of The Hearth or the Premises (including, but not limited to, in any communications, marketing, advertising or other promotional materials (including, but not limited to, brochures, flyers, invitations, email messages etc.)) without obtaining the specific prior written approval of The Hearth.

Entire Agreement.

The Terms, the House Rules and the Privacy Policy constitute the entire agreement between the parties, and supersede all prior and contemporaneous agreements, representations, and understandings of the parties.

Severability.

In the event that any provision (or part of any provision) of these Terms or the House Rules is determined to be invalid, illegal or unenforceable for any reason, in whole or in part, the remaining provisions of these Terms and the House Rules shall be unaffected thereby and shall remain in full force and effect to the fullest extent permitted by applicable law.

Variation.

The Hearth may change the Terms and/or the House Rules from time to time (including amending or adding to the Membership tiers and/or the benefits applicable to a Membership tier) by displaying notification of the change on www.thehearth.me and/or by giving notice to Members You are deemed to have accepted any changes if you continue to access the Premises or use any of the Services. Members who do not wish to accept changes to the Terms or the House Rules may terminate their Membership in accordance with paragraph 6 of these Terms.

Governing Law.

The Terms and the House Rules shall be governed by and construed in accordance with English law and each Member agrees to submit to the exclusive jurisdiction of the English courts.
